GRADING FOR 2009 - 2010 SEASON

Plans are being made to grade the Ranch roads (hopefully after we get some rain, but maybe we'll have to do it without). Anyone who wants to have work done while the equipment is on the Ranch can contact Ransom Walrod at studiosea@earthlink.net.

Solar Power Station Coming?

The county is reviewing the zoning of about two square miles of land south of highway 40 and west of highway 93 (northwest of the ranch) for possible conversion to heavy industrial to accommodate a proposed 200 megawatt solar power plant.  Albiasa, a Spanish company, is proposing to build a facility that consists of concentrating trough solar collectors,  a turbine generator, cooling towers and a molten salt heat storage facility.  The molten salt will be heated by the solar collectors to provide generation capability after the sun goes down.  The rezoning effort has been postponed because of conflict with the highway 93 zoning and the area general plan.  Locals are worried about the impact of the water draw which the project would have on the aquifer.  The proposal indicated that the project would use between 1000 and 4000 acre feet of water per year.  Four thousand acre feet of water per year translates into 1.4 billion gallons per year, or about 2500 gallons per minute  of continuous pumping.

We've placed a sign at the entrance stating in essence that the road is not a 'Maintained Road' Even though all the Ranch roads are being bladed and most of the drainage ditches are being recut, the term 'Maintained Road' has a legal definition concerning grade, surface, drainage, etc. that many roads in the county don't meet. (North Bank Street, Most of Golden Valley, most of the county dirt roads). We put that sign there to inform visitors that the road can be of 4X4 quality sometimes after a bad rain. After consultation with the county attorney we copied their sign and left out the word 'county'. It is advisory and meant to be a help to folks who aren't used to country roads.

                             2010 Annual Membership Meeting Minutes
             Windmill Mountain Ranches Property Owners Associations, Inc.

The Annual Membership Meeting of Windmill Mountain Ranches Property Owners Association, Inc. was held on Saturday, February 13, 2010 at the Dambar and Steakhouse in Kingman, Mohave County, AZ.

    The following directors of the corporation were in attendance.

    Mike Woldridge

    The following officers were in attendance. 
    John Mayr - President 
    Mike Woldridge – VP Administration 
    Patti Walrod – Secretary/Treasurer

    Owners of nineteen (19) parcels attended the meeting.

    Proxies for an additional nineteen (19) parcels were received prior to the meeting

President, John Mayr, acted as Chairperson of the meeting and Secretary, Patti Walrod, recorded the minutes.

The requirements for a quorum having been met, the meeting was called to order at 12:55 pm on Saturday, February 13, 2010 for the purpose of action on the following agenda items:

Agenda Item 1: Association President’s Report 
 
Director and President John Mayr filed the following report:

    • John introduced the board of directors and officers
    • He thanked the group for their attendance and reminded everyone to sign in.

    Agenda Item 2: Approval of the Minutes of the 2009 Annual Membership meeting

    • The president opened the floor to a discussion of the minutes. There being no changes or amendments he asked for a motion to approve.
    • The motion was seconded.
    • The motion to accept the minutes was passed unanimously 

    Agenda Item 3: Association Treasurer’s Report  
    submitted by Patti Walrod

    • Cash Balances 
       National Bank of Arizona Checking Account as of 2/12/10 $44,672.12 
       Chase Certificate of Deposit as of 12/31/09   45,719.72 
             Total Income/assets $90,391.84 
    • Accounts Receivable
      • 58 parcel owners are in arrears. A late fee of $19.20 per parcel will be assessed. Interest at 10% per annum will be added after February 15, 2010. Property Liens will be filed against properties with unpaid fees and assessments which are not brought current by March 31, 2010.

          • A motion to accept the Treasurer’s Report was made and seconded
          • The motion passed unanimously 

    Agenda Item 4: Road Committee Report  
    Ransom Walrod, Director and VP Road Maintenance, was ill and unable to attend the meeting. Directors John Mayr and Mike Woldridge and Secretary Patti Walrod filed the following report.

    • The weather has cooperated again this year. The winter rains have been gentle, soaking rains without too much damage. Ransom Walrod and Bob Duey have driven the roads to assess the work required. The association is using Bob Duey’s equipment operated by Stephen Dollarhide again this year. Drainage has been opened where necessary and roads have been graded to maintain a slight slope for runoff. Where necessary, wash outs have been repaired. As of this date, to the best of our knowledge, all of the ranch roads are opened and drivable by 4-wheel drive vehicles
    • The same roadwork schedule used last year will be followed this year with work beginning  
      At the end of the Winter Rains  April/May 
      At the end of the Monsoon Rains Sept/Oct
    • Parcel owners can contact Ransom Walrod to report any problems with the roads or request additional work on their property. Bob Duey charges $100/hr for his blade and Stephen Dollarhide receives $20/hr for operating the equipment. Additional work will be charged per hour and paid directly to Bob Duey. If the road to your property needs work, or you would like to contract with Bob Duey to do some work on your property, please contact Ransom Walrod at studiosea@earthlink.net or at 928-715-5040 to coordinate the work. The road committee will be happy to look at any roads that members report as needing work.
    • The association has contracted with Ed Shelley to make new steel road signs. The road signs should begin to be seen on the ranch in the next several weeks.
    • The certificate of deposit will remain at the bank for the inevitable “rainy day.”

    Agenda Item 5: Directors Election Validation 
    Patti Walrod reported on the election results for the 2010 Board of Directors.

    • Per Article 2, Paragraph J of the Third Amended and Restated Declaration of Covenants, Conditions, and Restrictions, the ballots were counted on the basis of four (4) votes per original Owner per Parcel owned.
    • Three candidates ran for director: John Mayr, Ransom Walrod, Mike Woldridge.
    • One hundred twelve (112) votes were cast:

    • John Mayr, Ransom Walrod, and Mike Woldridge were validated as the Board of Directors for 2010.

    Agenda Item 6: New Business 
    The President opened the meeting to New Business. 

    • John Mayr reported to the group that the Board of Directors had met with attorney Tom Price to have some questions answered on the legality of de-annexation and to find out what the association’s options were in pursuing past due assessments.
      • De-annexation is not legal. The Covenants, Conditions, and Restrictions are a legal document and cannot be withdrawn from by one party.
      • Liens are good for 3 years and must be kept active. Title Insurance Offices will enforce liens when properties trade.
      • Foreclosure is an expensive proposition, approximately $3000 with filing fees, attorney fees, court fees, etc.
      • A discussion of Tax Lien Sales followed. Tax Lien Sale information can be accessed at mohavetaxsale.com. There are currently 22,000 tax lien sales listed in Mohave County.  The current owners have 3 years to pay their taxes before the new owner can take title. When the new owner does receive title, it is clear and unencumbered.
      • The membership was assured that property liens would continue to be filed on delinquent assessments. Local Title Companies have been notified of our association and will continue to be updated annually with regard to contact information. A website used by title companies to find home owner associations will be notified of our contact information. And finally, the directors are looking into the possibility of engaging a collection agency to help with the collection of past due assessments.
    • Patti Walrod reported to the group that the US 93 Corridor Plan that Planning and Zoning had been working on with a group of local citizens for 22 months had been shelved. It appears to have been motivated by the desire of local government officials to allow a large portion of Silverado to be rezoned from residential agricultural to Heavy Industrial in order to allow Albiasa Solar to come into the area with a Concentrated Solar Power (CSP) Plant. Concentrated Solar Power is a heavy user of water, an estimated 3,000 – 4,000 acre feet per year for Albiasa. For this reason, the US-93 Corridor Plan Committee had expressly excluded any CSP from the area plan.  Unlike a residential development, a commercial project is under no obligation to prove a 100 year water supply. Furthermore, once such a power plant is in place, there is no entity that monitors the actual water usage. They can use as much water as they can pump. In addition to the heavy water usage, this is Heavy Industrial. The only difference between this CSP Plant and a Power Plant using natural gas is the approximately 1700 acres of solar troughs along US-93 from mile marker 94 to mile marker 97. The “power pack” is essentially identical with turbines, cooling towers, settling ponds, etc. In addition, there will be an underground storage tank for the molten salt they are planning to use to continue generating power after the sun goes down. If this is not enough, these solar troughs require that the ground plane be graded to a slope of less than 1%. What will the repercussions be to the Big Sandy, our aquifer? If you do not want to see your property values plummet, this project must be stopped.     • In an effort to eliminate the “For Sale” signs that continue to sprout at the Ranch Entry Gate, John Mayr has proposed that we set aside space on the website where ads can be placed.

    There being no further New Business, a motion to adjourn was made and seconded. The motion passed unanimously. The meeting was adjourned at 1:50 pm.
